Terms Of Use
Please read carefully. By using this service, you acknowledge and agree to be bound by these Terms of Use. Provisions in these Terms of Use that may materially affect your rights have been highlighted in bold for your special attention. You shall ensure that, prior to using the service, you have carefully read, fully understood, and unconditionally accepted all terms and conditions of these Terms of Use.
1. SCOPE OF APPLICATION
These Terms apply to you (hereinafter referred to as “you,” “your,” or “user”) and Corporation (hereinafter referred to as “we,” “us,” or “Sirui Co-Lab”). By accessing and using this Service, you hereby agree to be bound by and comply with these Terms of Use. If you do not agree to any of the terms and conditions set forth in this User Agreement, or have any queries regarding any future amendments hereto, please do not accept any relevant services provided by Sirui.
2. ACCESS AND USE OF THE SERVICE
Please be advised that our Service is primarily intended for adults with full legal capacity and is not directed at children (i.e., minors under the age of fourteen (14)). Individuals under the age of eighteen (18) are not recommended to use or access our Service. However, due to technical limitations or other objective constraints, our Service may not be able to actively identify the age of users. Therefore, by using the Service, you represent and warrant the following:
2.1 You are at least eighteen (18) years of age; or
2.2 You have reached the minimum age required by the laws of your country/region to enter into a binding contract (the “age of majority”); or, if you are over fourteen (14) years of age but have not yet reached the age of majority in your country/region, you confirm that your legal guardian has reviewed this entire Agreement together with you, and that either you or your legal guardian has consented to this Agreement;
2.3 If you are accepting these Terms on behalf of another legal entity (including but not limited to a corporation or government agency, such as your employer), you warrant that you have full legal authority to bind such entity to this Agreement.
If we have evidence establishing that you have violated the foregoing representations and warranties, we reserve the right to cease providing our Service to you.
3.ABOUT CO-LAB
Sirui Co-Lab is an open, global product co-creation program for the imaging community. You may submit text descriptions, image samples, 3D models, videos, and other attachments (including but not limited to video files) on this page to explain your product idea. The product ideas you may submit include, but are not limited to, the following:
3.1 Suggestions for entirely new product categories or new product directions;
3.2 Design recommendations for new product features;
3.3 Product solution proposals targeting specific user groups or usage scenarios;
3.4 Recommendations for improving existing Sirui product features;
3.5 Optimization suggestions for existing Sirui product structures, materials, appearances, or packaging.
Upon receipt of your product idea, Sirui Co-Lab will conduct an internal review and decide whether to proceed with sample production and product commercialization. xx Co-Lab will provide you with the evaluation results within a specified period of time.
4. YOUR RIGHTS AND OBLIGATIONS
4.1 You acknowledge that, once your product idea is uploaded to this webpage, all intellectual property rights therein (including but not limited to copyright and patent-related rights, if any) shall be exclusively owned by Sirui. Sirui shall have the right to apply for, register, file, license, use, or otherwise dispose of such intellectual property rights in any manner. You understand and agree that, prior to receiving a written confirmation from xx indicating that your idea will not be subject to sample production and mass production by Sirui, you shall have no right to dispose of the foregoing product idea, including but not limited to seeking commercial production by any other party or disclosing the same to any third party.
4.2 You confirm that your product idea is your original work. You shall bear full legal liability for any consequences arising from the uploading, storage, and distribution of the design drawings you submit. In particular, if your uploaded design drawings infringe upon any legal rights of any third party, thereby causing disputes, arbitrations, and/or litigation between xx and such third party, you shall indemnify Sirui for all costs, damages, and losses arising from such disputes, arbitrations, or litigation, including but not limited to attorneys' fees, litigation and arbitration costs, financial expenses, and travel expenses.
4.3 Upon receipt of your product idea, we will contact you via the official email: co-lab@siruioptical.eu for further communication. Please note that this email address is the sole official contact channel for Sirui Co-Lab.
4.4 After confirming your product idea, Sirui will conduct an internal review. The evaluation criteria include, but are not limited to, the following:
4.4.1 whether the product idea relates to the Company’s business direction;
4.4.2 whether the product idea is similar to any relevant patented work;
4.4.3 whether the product idea is original;
4.4.4 whether the product idea is similar to any existing product or project already initiated, and whether it has productization value;
4.4.5 whether the product idea is an executable solution.
Please note that the above criteria are for reference only. Sirui reserves the right of final interpretation with respect to whether to adopt a product idea and commercialize it into a product.
5. AMENDMENTS TO THESE TERMS OF USE
5.1 We reserve the right to amend these Terms of Use and publish the amended version based on changes in national policies, technical conditions, product features, and other requirements.
5.2 After the amended Terms of Use are officially published, we will notify you of the relevant modifications through appropriate means (including but not limited to pop-up notices, emails, in-platform messages, and webpage announcements) to reasonably ensure that you are able to stay informed of the latest version of these Terms of Use.
5.3 You understand that the title of these Terms of Use and the section headings contained herein are for reference only and do not affect the meaning of these terms.
5.4 Any amendments shall form an integral part of these Terms of Use. Your consent to these Terms of Use shall extend to any amended terms. If you have any objection to the amended Terms of Use, you shall immediately stop logging into and using Sirui's services (including our webpages). If you continue to log into and/or use Sirui's services (including our webpages), you shall be deemed to have fully read, understood, and accepted the amended Terms of Use and agree to be bound thereby.
